The Texas Securities Commission recently made allegations against a cluster of companies operating under the banner of the "GS" brand and directed by Josip Dortmund Heit in Germany, involving fraudulent activities linked to digital asset investments and staking pools in their proprietary Metaverse. As stated by the regulator on November 16, entities such as GS Partners, GS Smart Finance, and GS Wealth engaged in several rounds of real estate sales within the Metaverse from September 2021. These firms offered XLT tokens to investors, representing ownership of a one-square- inch unit within the G999 Tower virtual universe, initially priced at 9.63 USDT per coupon. However, the value of these tokens drastically declined when the fundraising efforts failed to meet the $175 million target, plummeting to less than 0.0000049 USDT per coin on the PancakeSwap decentralized exchange.
Highlighting key regulatory violations, the Securities Commissioner pointed out that the entities involved—GS Partners, GS Smart Finance, and GS Wealth—were never registered as dealers or agents, breaching regulatory norms. Moreover, various other investment products such as Lydian World Metaverse tokens , gold tokens, G999 tokens, and Elemental certificates offered by GSB were identified as unregistered securities products. Consequently, the Texas Securities Commission took swift emergency enforcement action against the GSB Group of Companies, mandating an immediate halt to such activities within the state.
The concerns surrounding GS Partners' operations extended beyond the borders of Texas. On August 15, the Ontario Securities Commission issued a warning, indicating that GS Partners lacked the requisite registration to conduct business in Ontario, Canada. Additionally, securities regulators in various Canadian provinces —Saskatchewan, British Columbia, Alberta, and Quebec—had previously cautioned against engaging with the company due to regulatory concerns and the absence of authorization for their operations in those regions.
